1. Definition & Nature of $WRTH
1.1 $WRTH does NOT represent equity, debt, profit interests, or any financial instrument in Weritas Council Ltd. or its affiliates.
1.2 $WRTH is a consumptive software utility tool required for:
- Identity Minting: Paying gas fees for Pulse Score™ Verifiable Credentials.
- Protocol Governance: Exercising technical voting rights within the Weritas DAO.
- Network Access: Accessing decentralized web node infrastructure.
1.3 $WRTH is non-transferable except as explicitly permitted by the Weritas protocol or Council.
2. Acquisition Intent & No Investment Expectation
2.1 You are acquiring $WRTH SOLELY for its immediate functional utility.
2.2 You represent and warrant that you are NOT acquiring $WRTH with the expectation of profit derived from the efforts of Weritas or others.
2.3 You acknowledge that while the price of $WRTH may fluctuate, Weritas makes no representations regarding future appreciation or value recovery.
3. Regulatory Risk & User Indemnification
3.1 You acknowledge that regulatory authorities may classify $WRTH as a security or regulated instrument in certain jurisdictions.
3.2 You assume all regulatory risk arising from your acquisition and use of $WRTH.
3.3 You agree to indemnify and hold harmless Weritas Council Ltd. for any regulatory actions, penalties, or damages imposed as a result of your acquisition or use of $WRTH.
4. Jurisdictional Restrictions
Permitted Jurisdictions: Users in the BVI, Sub-Saharan Africa, and other non-restricted regions with self-certification of utility intent.
Restricted Jurisdictions: Users in the United States, Canada, and the European Union may NOT acquire $WRTH unless they are accredited investors and self-certify consumptive use.
Anti-Circumvention: Use of VPNs or proxies to bypass geographic restrictions is a material breach of these Terms.
5. Disclaimer of Warranties & Liability Cap
5.1 $WRTH is provided on an "AS-IS" basis. Weritas makes NO warranties regarding protocol availability, smart contract security, or secondary market liquidity.
5.2 Weritas's total liability shall not exceed the USD value of $WRTH acquired by you at the time of acquisition.
5.3 Weritas shall NOT be liable for indirect, consequential, punitive, or special damages.
6. Service Suspension & No Refunds
6.1 If regulatory changes require, Weritas may suspend $WRTH issuance or delist tokens in affected jurisdictions.
6.2 All acquisitions of $WRTH are final and non-refundable, including in the event of regulatory suspension or protocol failure.
7. AML/CFT & KYC Compliance
Weritas reserves the right to implement KYC/AML procedures. Thresholds and providers are determined by the Council to ensure compliance with BVI and international standards.
8. Governing Law & Dispute Resolution
8.1 These Terms are governed by the laws of the British Virgin Islands.
8.2 Any dispute shall be settled by binding arbitration under the ICC Rules, seated in Road Town, BVI.
